The City Council (the “City Council”) of Salt Lake City, Utah (the “City”), met in regular
public session on January 19, 2021, via electronic means at 7:00 p.m., due, legal and timely notice
of the meeting having been given to all members as required by law.
In accordance with the Salt Lake City Emergency Proclamation and the determination that
meeting at an anchor location presents substantial health risk, per the City Council’s statement
during the January 5, 2021 meeting, this public meeting was held electronically. The notice of the
meeting provided instructions to the public on how they could monitor, participate in or listen to
open portions of the meeting electronically. No physical [anchor] meeting location was available.
The meeting was duly called to order by Council Chair Amy Fowler who was conducting
the meeting, with the following members of the City Council being present, a quorum of the City
Council:

Absent: None.
There were also present:

DeeDee Robinson Deputy City Recorder.
The City Recorder presented to the City Council an affidavit evidencing the giving of not
less than twenty-four (24) hours’ public notice of the agenda, date, time, and place of the January
19, 2021 regular meeting of the City Council in compliance with the requirements of
Section 52-4-202, Utah Code Annotated 1953, as amended, and in conjunction with emergency
procedures enacted by Salt Lake City Emergency Proclamation 2 of 2021 and Chair Determination
date January 5, 2021 The recorded in the minutes of the meeting and is as follows:
It was noted that, as required by Section 52-4-203, Utah Code Annotated 1953, as
amended, written minutes and a recording of this meeting are being kept.
Thereupon, the following resolution was introduced and after due consideration of the
resolution by the City Council, Councilmember Johnston made the motion to adopt the proposed
resolution:
• Authorizing the issuance and/or incurrence from time to time of one or more
series of subordinate airport revenue short-term revolving obligations in an
aggregate principal amount not to exceed $300 million outstanding at any one
time in the form of a revolving line of credit for the purpose, among others, of
financing and refinancing certain capital improvements to the Salt Lake City
International Airport.
• Authorizing the execution and delivery of a master subordinate trust indenture, a
revolving credit agreed, a fee agreement, promissory notes and all other related
documentation.
• Providing for the publication of a notice of public hearing and bonds to be issued.
• Providing for the running of a contest period.
• Authorizing the taking of all other actions necessary for the consummation of the
transactions of this resolution, and related matters.
Councilmember Rogers seconded the motion. On being put to a vote, the motion was
carried by the following vote:

Analia Valdemoros
Chris Wharton
Daniel Dugan
Darin Mano
James Rogers
Amy Fowler
NAY: None.
The resolution was subsequently presented to and approved and signed by the Mayor, was
approved as to form and signed by the Senior City Attorney, was signed by the Chair of the City
Council, and was attested and recorded by the City Recorder in the official records of said City.

Upon the conclusion of all business and upon motion duly made and carried, the meeting
of the City Council was adjourned.
