For Further Information, contact the TDD Number 535-6021 /'1 1!-6 RECEIVED MAY 2 3 2011 CITY RECORDER NOTICE OF CONVEYANCE OF SIGNIFICANT PARCEL OF REAL PROPERTY BY SALT LAKE CITY CORPORATION BACKGROUND Salt Lake City Corporation(the"City")has been affiliated through an unincorporated association of water users who have jointly owned and operated the Utah Lake Pumping Plant(located on the Jordan River below the outlet of Utah Lake),the Turner Dam and other appurtenant diversion works, facilities and related real property. The operations have been conducted for the purpose of delivering both direct flow water from the Jordan River and storage water from Utah Lake to the association members under their respective water rights or the water rights of others. This unincorporated association has been operating since the early 1900's. Some of the parties have equitable ownership interests in the existing facilities and real property upon which the facilities and other support buildings owned by the unincorporated association are physically located. Title to the real property is the in name of the City; however, over time, the City has consistently recognized the equitable interests of the other association members in the real property. The City intends to participate with the other parties to construct replacement facilities based upon their current and foreseeable needs for pumping capacity. In order to facilitate the construction of the replacement facilities,the City intends to join with the other parties in the incorporation of a non-profit corporation to acquire title to the existing facilities, including the interests in the real property held in the name of the City. In exchange for transfer of title to the real property,the City will receive its proportionate share of shares of stock in the new corporation. The exchange of the City's interest in the real property for the shares of stock will be an equal value exchange. NOTICE PURSUANT TO CITY CODE SECTION 2.58.040 NOTICE is hereby given that at 7:00 a.m. on May 26,2011, at the offices of the Salt Lake City Department of Public Utilities, 1530 South West Temple, Salt Lake City, Utah, the Public Utilities Advisory Committee("PUAC")will consider the City's conveyance of real property as set forth above. Public comments are welcome at the meeting. The real property is identified on the map attached hereto. The property will be conveyed by the City to the new entity in consideration and exchange for shares of stock as an equal value exchange. The following entities will be shareholders in the new entity: Utah and Salt Lake Canal Company. East Jordan Irrigation Company, Salt Lake City Corporation, South Jordan Canal Company,North Jordan Irrigation Company,Jordan Valley Water Conservancy District, Kennecott Utah Copper LLC, Draper Irrigation Company, and Metropolitan Water District of Salt Lake& Sandy. Based in part on the valuation work performed by Norman. Townsend &Johnson, the approximate value of the City's interest in the association is S1,019,000. 00.
