Agenda Item#1: Approval of January 12, 2015 and February 9, 2015 meeting minutes. Terry asked if there were any corrections or changes to the January 12, 2015 minutes. There were none. Terry asked if there was a motion to accept the minutes. Robert Young motioned to accept the January 12, 2015 minutes. Terry asked if there is a second to the motion. John Phillips seconded the motion. The Committee unanimously voted to approve the January 12, 2015 minutes as written. Terry asked if there were any comments or corrections to the February 9, 2105 meeting minutes. There were none. Jerod Johnson motioned to approve the February 9, 2015 minutes as they stand. Terry asked if there was a second to the motion. John Phillips seconded motion. The Committee voted unanimously to accept the minutes as written. Agenda Item#2: Committee Business—Election of Officers. Terry explained that the elections would be for Chairman and Vice Chairman. He noted that the Chairman can be in the position for two periods of time, of which he (Terry) is at 2.5. Terry asked if there was anyone who would make a motion for a chairman. John Phillips asked Jerod Johnson if he would serve as Chairman. Jerod answered that he would be willing, but he was going to ask if there was anyone else who would feel inclined to assume that role as well. Terry asked if there was anyone that would make a motion to elect Jerod to become the Chairman. Robert Young motioned for Jerod Johnson to be elected chair by mandate since there is no one running against him. Terry asked for a second. John Phillips seconded the motion. The committee voted unanimously to elect Jerod Johnson as Chairman. Terry asked if there was a motion to elect a Vice Chair. 1 John Phillips motioned to elect Mark Vlasic as Vice Chairman. Robert Young seconded the motion. The Committee voted unanimously to elect Mark as Vice Chairman. Terry agreed to finish conducting this meeting and turn the gavel over to Jerod for the next meeting. Agenda Item#3: Art Gallery Update &Vote. • Proposed labor rate for set up and security deposit increase. Terry explained that in the February 9, 2015 meeting the Committee was updated by Alexis Anderson regarding a proposed labor rate of$25.35 per hour for the cost of a city employee's labor to help with the set-up of the art to be displayed. The reason for a labor cost is because some of the artists are not bringing help to hang their art and so the City was asked to provide additional labor to help get the art hung. Terry explained that Alexis proposed the labor rate for set up as well as and increase in the security deposit and suggested that the committee needed to give a recommendation that the labor rate and security deposit increase would be accepted so the City Council could act upon these changes. Terry asked if there was a motion as outlined in the February 9, 2015 minutes. John Phillips mentioned that it was his recollection that what the Committee was going to do was agree that the security deposit rate was going to now be the$81.00 as indicated in the minutes and the$25.35, which is the currently hourly rate of an employee here in the City and County Building. Terry noted that the$25.35 per hour should be described as the "labor costs" to the city. Jim Cleland asked to clarify it further saying "we are just recovering costs for the use of a city employee and there was no attempt to make any money on this. John Phillips explained that with these two numbers, he would make a motion to accept the rate of$25.35 per hour to charge individuals that need assistance in hanging their art and that we increase the rate from $77.78 to $81.00 for a security deposit and that the funds necessary for recovering the cost of the city employee's time shall be deducted from the security deposit. Terry asked if there was a second to the motion. Robert Young seconded the motion. Terry asked if there was any comment or questions relative to the motion. Joan Swain explained that the minutes also note that the committee discussed charging a flat fee of$75 for an estimated 3 hours of set up, in an effort to discourage artists from just showing up without help thinking they will just deduct it from the security deposit. We would rather encourage artists to plan on bringing their own help. John Phillips asked if we could add this on to his first motion or make a new motion. Terry responded that an amendment could be made to the first motion. John Phillips said he would like to make an amendment to the previous motion, which would be that if individuals decide that they are going to use that service that they be charged a flat rate of$75.00 to help in hanging their art. Terry asked if there was a second to this amendment. Mark Vlasic seconded the amendment. Terry asked if there was any question regarding the amendment to the motion. There was none. Terry asked for a vote on the amendment. The committee voted unanimously to approve the amendment. Terry asked for a vote on the motion. The Committee voted unanimously to approve the motion. Terry noted that the motion as well as the amendment passed. 2 • Gallery Stroll Update. Jim Cleland reported that the first floor art gallery has taken off in popularity and we are getting a lot of new applications submitted, therefore, we decided that we would like to join the Salt Lake Gallery Stroll. He explained that the Gallery Stroll is not a Salt Lake Arts Council sponsored event, but, it is a separate event by groups that are associated with the Arts Council. The stroll is held on the 3rd Friday of each month and it would require the building to stay open until 10:00 pm that night. At the same time, because the City and County building will be open for this event, the café will also stay open and serve light refreshments and that kind of thing. Jim told the Committee that Liberty Valentine, the concessionaire, is also participating in the gallery stroll and so patrons will be able to enter from the Café as well as entering from the gallery. A small Salt Lake City paid a small fee to be part of the Gallery Stroll, which also includes all advertising. Jim explained that the building security guys will watch to make sure the visitors do not wander through the rest of the building and get into trouble. Jim also reported that we found out that people have been calling wanting to purchase the artwork that is hanging in the building. Obviously they cannot purchase it while it is hanging there, but they can contact the artist and make arrangements to purchase it. The artist's display a short bio about their art and also have business cards on hand for interested patrons. This is a good thing for budding artists to have the opportunity to exhibit their work and have possibly even sell some of it. Agenda Item#4: Review of the New Drawing Set—Washington Square Café Outdoor Dining. Terry explained that the Committee reviewed the suggested changes put in the February meeting and gave the designers some items to consider and now it is time to review and give a recommendation if the City should proceed with this. Terry commented that upon his review he did not see anything that the designers had missed. Robert questioned the type of iron work being proposed, noting that it is very ornamental and asked if it was something that was based on a historic precedent set here at the building or is this just something they have created. Jim Cleland suggested that this was the closest they could come to a "period" design, even though it is rod iron mixed with cast iron. Robert specifically noted that the gate seemed to be a little more "fancified". Jim acknowledged that the designers were definitely trying to make it a little more ornamental to fit the period that it was built. Mark Vlasic commented that the style of the iron work proposed was his first thought as well. He asked if the building style was "Richardsonian" and noted that the iron work seemed a little more "Victorian". Robert acknowledged that the style was Richardsonian/Romanesque". Jim Cleland noted that the building was completed in 1894 and Queen Victoria died in 1900 or 1901 so this was in the same era. Mark and Robert agreed that it would have been interesting to see what the original ironwork of the building was and if this proposal matches it or goes in a different direction. Jim suggested that there is not anything at this point that is contradictory to it. Terry noted that the only iron work he could recall was the ornamental-work up on the roof. Mark also commented relative to the use of clematis on cast iron. Noting that it may be okay in the shade, but, most vines don't do well on metal when it gets heated. Also noting that these 3 vines can be very sensitive and difficult to get established so this may be something they want to consider an alternative in the future. Jerod asked Jim to remind the Committee what the schedule for this project is. Jim explained that they do not want this project to interfere at all with the seismic upgrade or with the stone renovation. He noted that Sean Fyfe suggested that it may be possible to put it in as a change order to the end of construction in year two or we could fit it in completely separate, put in as an alternate. Jim suggested this all depends on funding that so this gives him one year to drum up enough enthusiasm for the project now that we have the accepted drawing and a plan to get it funded in the project or it will go one afterwards. Jerod suggested that he sees some pros and cons if it happens as an addendum to the project, that is an ongoing project and there will be posts on top of that mote cover and so it would make sense to do it as a separate project. Jim reported that there is another issue relative to the outdoor dining project. The transformer that is in the vault right below it has no other access for that transformer except through the roof/ceiling.Jim said he has this transformer on a 10 year plan and hopefully can get the money for a new transformer before we do this project because he does not want to have to tear the lid off the patio to get to the transformer when it fails he would rather put a new one in before it fails and then put our patio over it. This transformer could fail in a year or in 10 years we just don't know, it is one of the old transformers and was not changed out when the building was remodeled. He does not want to pour a new patio with that old transformer in there. Terry asked if there was any other discussion relative to the drawing. There was none. Terry asked if there was a motion. Robert Young motioned to accept the drawings. Mark Vlasic seconded the motion. Terry asked if there was any discussion on the motion. There was none. Terry called for a vote. The Committee voted unanimously to approve the motion. Terry welcomed Jaysen Oldroyd to the meeting. Jaysen apologized for being late due to other meetings. Agenda Item#5: Update on City and County Bldg. Procurement on Stone &Seismic Projects. Sean Fyfe explained his recollection was that last month the RFQ was advertised and we were waiting for responses. He noted that they did receive responses from three firms and the initial thought was that after the submittal they could just select one, but there were two really well- qualified firms, so they decided to take the procurement to the next step and conduct interviews. They also issued a technical proposal where they ask more project specific questions and the response is part of the evaluation. He explained that from the three firms, they short- listed two and then they issued the technical proposal. The responses from the technical proposals are due on the 12th of March and upon receipt a committee will evaluate the information and then interviews will be scheduled for March 19th. He noted that usually what happens in those interviews is the firms will go over their technical proposals and then there will be a few questions asked, that they don't know about yet, and finally there will be a question and answer period. The goal is to select the firm on the 19tn Terry Wright asked if it was public as to whom the two short list firms are yet? Sean Fyfe suggested he was not sure that he could divulge this information at this time and more specifically because there is a Committee Member who is affiliated with one of these 4 firms. Sean suggested that next month he would be able to report which firm was selected if they were under contract. Sean Fyfe reported that another bit of information related to the Seismic project is that Dawn Wagner, the new SLC Engineering Project Manager, contacted USGS regarding the seismic monitoring and they provided us the specifications for new monitors and they volunteered to actually come out and install them. Sean indicated that the plan is to purchase those monitors with project money and then pay for their travel and they will install them for free. This will be coordinated with the contractor when we get one onboard. Sean Fyfe also mentioned that Dawn Wagner has started some conversations with the planning department about the projects to give them a heads-up with what's going to happen and when. Sean noted that they've been really supportive of the project and we don't anticipate any real setbacks there. We anticipate administrative approval through the Historic Landmarks Commission so we would not have to have a formal approval of the Committee, but we will wait and see because things can change. Sean also suggested that they would still brief the Historic Landmarks Commission about the projects as well as this Committee. Sean Fyfe told the Committee about the HVAC upgrades project, which is a smaller project, but still significant, costing approximately 1 million dollars. He explained that there are fan coil units throughout the building in cabinets. He explained that funding has been obtained through various funding sources which will pay to replace units on the majority of the floors, but not all. This is currently in design with our on-call architect, Archiplex Group, and they are working with their mechanical engineer to find a unit that we can just drop into the cabinets without having to make any revisions to the cabinet's size or look. Archiplex believes they have a model that will fit so Jim and I will go and see if we can see some of these in action because part of the goal is to reduce the noise because the existing ones are really noisy. We do not want to put a new unit back in that is as-loud or louder than what we already have and we obviously want something more efficient as well. Terry Wright asked if this HVAC project is to be separate from the seismic and stone projects. Sean Fyfe explained that the goal is to actually design, bid and install these before we start the construction on the seismic and stone. Terry Wright asked how long after the architectural consultant is hired for the stone project does Sean anticipate the design work to be completed. Sean Fyfe said that they would need to speak to the architectural consultant about this, noting that the feasibility study for the stone was almost a bid package-ready study in itself so they feel comfortable about the status of this. We have a direction but it is really going to be the structural design time that dictates the schedule, from a design standpoint. We don't anticipate the phasing plan taking too long to develop. Terry Wright asked if we anticipate that coming out in 2015. Sean Fyfe responded that they hope to get it designed and bid this summer if possible. Part of our discussions with the consultant will be asking what a realistic schedule would be. Right now, we think it is going to be a two construction season type of project. John Phillips asked if we have any update on the NW corner. 5 Sean Fyfe told the committee that they had incorporated the last round of comments and sent the drawings to Jim Cleland. Jim Cleland said he thought we sent them out, but basically the changes were what the committee talked about;the flat, no curved planting bed with the fixtures and monument the way you wanted. Terry Wright asked if they were just waiting to get funding now. Sean Fyfe told the Committee that it has kind of been shelved because there is no money right now. But we should send out the final drawing Jim Cleland commented that the project started out as a small $5,000 project and now it's not that small. John Phillips commented that it doesn't change the fact that there is still need. Jim Cleland agreed and told the committee that we are still on, now the question is does Facilities get to fund it or does Parks fund it and it t might be a joint effort. John Phillips commented that maybe that is the best way to move forward quickly. Jim Cleland will send the drawings to the Committee for the next meeting and Joan will add it to the agenda for April. Terry Wright asked if there were any other items or questions about upcoming projects or future for the City and County Building. There were none. Terry thanked Sean for his updates. Agenda#6: Electronic Meetings Conference Call Information. Terry suggested that maybe Jaysen Oldroyd, SLC Attorney, could weigh in on this. Jaysen Oldroyd reported that he had been looking into electronic meetings and conference calls and it is his belief that we can go ahead and do this if we were to include in our notice of meeting information as to the fact that a particular meeting may be electronic in nature. We would need to have at least a majority of a quorum present here, in an anchor location, but we could connect with some other individuals. Terry Wright asked if that meant we would need to have a quorum of 5 people here. Jaysen Oldroyd explained that if the total quorum is 5, we would need to have at least 3 committee members here in this location. He noted that the State Statute indicates that the rule should be passed by the body itself. Currently, we are operating off an ordinance that was passed by the City Council that lays things outs so at the next meeting or two, it would probably be worthwhile to pass a rule that reflects or mimics exactly what we have in the city council's ordinance, to just kind of tie up that loose end. Then we'd have the City Council ordinance and we'd have a resolution from this body indicating that we want to proceed with that same electronic meeting standard and then we could go ahead and incorporate the language in future meetings and connect electronically as need be. Terry Wright asked if there is a way the committee could do a motion that would do all of this today while we have a quorum present. Jaysen Oldroyd suggested that we would probably need some language indicating that was our intention, noting that the agenda did not indicate there would be an action item to adopt a resolution. Jim Cleland asked if we need a copy of the resolution so the committee can vote on it. Jaysen Oldroyd said we would need something for the next meeting indicating that we are going to vote on adopting this particular electronic meetings resolution. We need to give a little more time to give the public notice of what we are intending on doing. 6 Joan Swain of SLC Facilities reported on information she obtained from the IMS(Information Maintenance Services)guys relative to conference calling and possibly getting a camera to be able to "Skype". Joan suggested that in the event a committee member was not able to attend the meeting they could call her and give her the number where she could call them back and then conference them in through the phone system here in the Cutler Room. The phone system here can conference-in up to 6 people, but we would have to initiate the calls from the phone next to the computer and then transfer to the "Idec" phone on the conference table so the call could be heard on the speakers and also be recorded with the rest of the meeting. Mark Vlasic asked if instead of using "Skype" is there a possibility of using "Go to Meeting"when we need to look at drawings and other documents. Joan acknowledged that this was also another option she was checking into and told the committee she would have more details relative to "Go to Meeting" options for the next meeting. Jim Cleland suggested that there may be a reason to use a combination of the two, if we are just talking to an individual who is just talking to the group then Skype would probably be the answer, but if we were going to present anything and project it then "Go to Meeting"would definitely be a better way. Sean Fyfe suggested that"Go to Meeting"was a better for non-committee members who want to participate because it is just a call in number where Skype requires them to call you and then you have to call them back, etc. Jim suggested we want to have the ability to do both the website and call in so they can see what we are projecting. Joan Swain noted that we do not want to encourage committee members not to attend the meeting in person and just call in. Terry Wright asked if we would just need to have this access for the committee members and not for the general public to be able to access. Jaysen Oldroyd acknowledged that for the public we only needed to have a space available here at the anchor location for the meeting. Joan Swain commented that after we get the resolution and vote on it, then in future meetings you could let me know if you were going to be unable to attend the meeting, but would be able to be conference in, then when I got here and we were ready to start the meeting, I would just call you and conference you in. Terry Wright asked if we could have a motion regarding a resolution that would allow us to perform electronic meetings utilizing the best presentation, including, but not limited to, "Go to Meeting", "Skype" and the like, such that we could have a quorum to vote on and conduct meeting business. Terry Wright asked if there was a motion. Jerod Johnson moved to accept the request for motion as previously stated by Terry Wright. Terry asked if there was a second. John Phillips seconded the motion. Terry asked if there was any discussion relative to the motion or the second. Terry thought that the only discussion is asking Jaysen if this gave him enough information that you can write up a resolution that we could actually review and vote on. Jaysen suggested that he would anticipate doing something that would reflect word for word what the council has come up with and that would give us the flexibility to hold a meeting with a majority of the individual members present here and then it would leave most of the rest of the details up to the "Utah Public and Open Meetings Act" and so that would give us a lot of 7 flexibility as to how we were to connect electronically and things of that nature. If that sounds good then he will prepare something and draft it along those lines. Terry asked if this would allow us to utilize "Skype" and "Go to Meeting". Jaysen told the Committee that what we would need to do is when we are preparing the actual notice that is going to go out, that notice would have to indicate the method of connection that we were going to be using, but it could vary from one meeting to another. Terry asked if there were any other questions. There were none. Terry called for a vote. The Committee voted unanimously to approve the motion. Terry asked if there are any other items of information or agenda items that we would like to be added to next month's agenda. There were none. Terry asked if there was a motion to adjourn.
