HomeMy WebLinkAbout-CULTURAL CORE BUDGET COMMITTEE BYLAWS As of November 12, 2020 I. Committee Membership, Appointment Process, Terms of Office, Appointment Process, Quorum, Officers Membership: The membership of the Committee shall include three persons appointed by the Salt Lake City and three persons appointed by the Salt Lake County, as outlined in the interlocal agreement. The City and County shall follow their respective established procedures for Committee appointments. Term: The term of office shall be for three years, with the ability to be reappointed for a second term. These terms of the inaugural members shall be staggered so that the rotation in the future does not occur all at one time. Quorum: At all Committee meetings, a majority (half plus one) of the members shall constitute a quorum for the transaction of business, except for the approval of minutes, an action which may be taken by a simple majority of the members present at a Committee meeting. Any action taken by a quorum at any meeting of the Committee shall be considered the act of the Committee, except as may be otherwise specifically addressed in these bylaws. Electronic Meeting: Meetings may take place through electronic means, and members of the Committee may participate electronically in that meeting with all privileges as if present, if the following are met: a. The request by the Committee members to use electronic participation can be made up to two hours prior to the meeting; b. In compliance with the Utah Open and Public Meetings Act, notice of Committee meetings shall be published at least 24 hours before any meeting, and; c. An option be provided for any meeting to be attended electronically by a member of Committee or the public, based on available equipment capability, if requested at least 24 hours prior to the meeting. II. Officers Section 1 - Officers. The officers of the Committee shall be a Chair and one Vice Chair or two Co-Chairs. Each officer shall be elected by a majority of the Members of the Committee constituting a quorum. Such other officers and assistant officers, as may be deemed necessary, may be elected by the Committee or appointed by the chair(s). In its discretion, the Committee may leave unfilled, for any such period as it may determine, any office except that of chair. Section 2 - Election and terms of Office. The officers of the Committee shall be elected by the Committee annually. Each officer shall hold office for a term of one year with the option of being re-elected for a second one-year term, for a maximum of two years per each office, or until a successor shall have been duly elected and shall have quali resignation, complete their term of service, or shall have been removed in the manner provided herein. Section 3 - Chair. The Chair (or Co-Chairs) shall be the principal executive officer(s) of the Committee and shall generally supervise and control all of the business and affairs of the Committee. When present, the Chair(s) shall preside at all meetings of the Committee. The Chair(s) may sign any instruments which the Committee has authorized to be executed; and in general shall perform all duties incident to the office of Chair and such other duties as may be prescribed by the Committee from time to time, including: a) attend and conduct all Committee meetings; b) encourage full participation in Committee discussions and deliberations c) appoint ad hoc committees, as necessary; d) represent the Committee before the City or County Governing Committee. Section 4 - Vice Chair. In the absence of the Chair or in the event of the death, inability or refusal of the Chair to act, the Vice Chair shall perform the duties of the Chair, and when so acting, shall have all the powers of and be subject to all the restrictions upon the Chair. The Vice Chair shall perform other such duties as from time to time may be assigned by the Chair or by the Committee. III. General Powers and Responsibilities The members are responsible per the terms of the Interlocal Agreement, including but not limited to planning, implementation and evaluation of activities appropriate to the intent of the Interlocal Agreement. Per the Interlocal Agreement, the members shall review and prioritize project expenditures. The Committee is required annually to prepare an operations budget for review and approval by the Salt Lake City Council and the Salt Lake County Council. IV. Standing and Ad Hoc Committees The Committee may create or dissolve standing and ad hoc committees as it may deem necessary to promote the purpose and carry on the work of the Committee. The chairs of such committees shall be responsible for preparing periodic reports to the Committee on the activities and recommendations from their respective committees. V. Contracts and Services Committee members may be interested, directly or indirectly, in any contract relating to or incidental to the operations of Salt Lake City or Salt Lake County, and may freely may contracts, enter into transactions, or otherwise interact with Salt Lake City and Salt Lake County; provided, to the Committee before voting on a related matter. VI. Ethics and Conflicts of Interest All Salt Lake City and Salt Lake County employees, elected and appointed officials, and volunteer Committee members must abide by two significant statutes in Utah law which prohibit, or require disclosure of, certain actual or potential conflicts of interest between their public duties and private business interests. Committee members shall complete all required disclosure documentation on an annual basis. VII. Public Meetings Act The proceedings of the Committee shall comply with the Utah Open and Public Meetings Act.
