Role of Redevelopment Advisory Committee Policy ;' Y , 2016 RESOLUTION OF THE BOARD OF DIRECTORS OF THE REDEVELOPMENT AGENCY OF SALT LAKE CITY ADOPTING A POLICY DEFINING THE ROLE OF THE REDEVELOPMENT ADVISORY WHEREAS, the Board of Directors of the Redevelopment Agency of Salt Lake City (the "Board") desires to fon-nalize policies with respect to the role of the Redevelopment Advisory Committee ("RAC"), and WHEREAS, the Redevelopment Agency of Salt Lake City ("RDA") was created to transact the business and exercise the powers provided for in the Utah Community Reinvestment Agency Act, and WHEREAS, the Utah Community Reinvestment Agency Act grants the RDA powers to exercise its role in revitalizing its project areas, and WHEREAS, the RDA requires expertise to guide certain decisions to fulfill its goals and objectives in RDA project areas, and WHEREAS, the RDA desires to form Redevelopment Advisory Committee to provide such expertise to the Executive Director, Board of Directors, and RDA. staff. FOLLOWINGNOW, THEREFORE, BE IT RESOLVED BY THE BOARD OF DIRECTORS OF THE REDEVELOPMENT AGENCY OF SALT LAKE CITY SHALL ADOPT THE RAC PO RAC shall provide recommendations on policy matters to the RDA Board of Directors ("Board") and RDA Special Committees shall provide recommendations on business/transactional matters to the RDA's administrative staff which shall, when appropriate, be forwarded to the RDA Board. A. Appointments of RAC members shall be made by the Executive Director with the advice and consent of the RDA Board. B. The RAC shall consist of no less than i members and no more than 9 members. Members of the RAC shall be residents of the City except that two (2) members may reside outside the boundaries of the City, provided that they own or are employed by an entity holding a current City business license. To be eligible to be appointed as a mernber of RAC, a person shall meet the following prerequisites: A. The RAC shall consist of members who provide expertise in finance, construction, law, architecture, urban design, plarming, and any other expertise with an emphasis on real estate development. To the extent possible, the RAC should represent a cross section of the City, and appointments should recognize equal opportunity principles. B. Members shall not also serve as a member of another appointed authority, board., advisory board, Council, committee or commission of the City; however, RAC members may serve on RDA Special Committees as recommended by the Executive Director. A. Members appointed to RAC shall serve a four-year term. B. The Executive Director may fill any unexpired term of aresigning, removed, or deceased RAC members, in which case, an appointment shall be for• the unexpired term. C. RAC members shall be limited to two (2) consecutive terms or eight (8) years in office, whichever is greater. D. A RAC member whose term has expired may continue to serve until a replacement RAC member is appointed. Vacancies occurring in the membership of RAC shall be filled by appointment by the Executive Director with the advice and consent of the RDA Board for the unexpired teen. If required by state law, RAC members shall sign the oath of office required by law to be signed by city officials and file the same in the office of the city recorder. CONFLICTS OF INTEREST: RAC members are subject to Chapter 2.44 of Salt Lake City Corporation's Ordinance regarding conflict of interest, and the Municipal Officers' and Employees' Ethics Act in the Utah Code. Any RAC member may be removed from office by the Executive Director for cause prior to the expiration of the term for which the member was appointed. Any member failing to attend three (3) RAC meetings without advance notice in one calendar year shall be subject to forfeiture of membership on RAC. Every RAC meeting shall conform with the open and public meetings act., as set forth in Utah Code. A. RAC shall convene meetings on an as -needed basis, the frequency of which shall be determined by the RDA based on when RAC must make recommendations to the Board on policy matters. B. Special meetings may be requested by a majority of RAC, the RAC chair, or the Executive Director. C. RAC Special Committees shall convene as needed by RAC administrative staff to make recommendations on RDA business/transactional matters. Members of RAC may be asked by the Executive Director to serve on one or both of the following RDA Special Committees: • RDA Finance Connnittee: The RDA Finance Committee will provide recommendations for approval on all loans, tax increment reimbursements, and land writedowns. • RDA Design Revieiv Connnittee., The RDA Design Review Committee would review and provide insight and recommendations on the design of projects funded by the RDA. An individual RAC member may serve on one or more RAC Special Committee based on that individual's expertise. RDA Special Committees will be comprised of certain RAC members and City representatives to advise RDA administrative staff oil business/transactional matters. In instances where RDA Special Committees address transactional matters, such recommendations shall be included in materials for review by the RDA Board, The RAC shall annually elect one of its members as chair and another member as vice chair who shall perform the duties of the chair during the absence or disability of the chair. A quorum is a majority of members who have been appointed to RAC.
