Definitions. The following words when used in this chapter shall have the meaning ascribed to them, unless the context clearly requires a different meaning. ( 1) "Charitable" means and includes patriotic, philan- thropic, social service, welfare, benevolent, educational , civic, or fraternal , either actual or purported. ( 2 ) "City" means Salt Lake City, a municipal corporation of the State of Utah. ( 3 ) "City Licensing Director" means City License Assessor and Collector. (4 ) "Commission" means the Charitable Solicitations Committee of the City, created by section 20-17A-5. ( 5 ) "Contributions" means and includes alms, food, clothing , money, subscription, property, or donation, including when under the guise of a loan of money or property. -3- ' T 1 i e ( 6 ) "Cost of collection" means all costs of whatever nature which are incurred by the organization in conducting a solicita- tion and in raising the funds solicited , provided however, that such costs shall not include those paid for with funds other than those collected in connection with such solicitation. (7) "Information Card" means either a Regular Information Card ( for a charitable organization) or a Special Information Card ( for a religious organization) issued by the City Licensing Director or any other similar Information card issued by any other jurisdiction or entity which is approved by the Commission. ( 8 ) "Organization" means any individual , firm, partnership, corporation, company, association, joint stock association, church, religious sect, religious denomination, society, organization, league , or union, and includes any trustee, receiver, assignee, agent, or other similar representative thereof. ( 9 ) "Pecuniary compensation" or "consideration" as used herein, includes, but is not limited to, participation on a percentage basis in any fund solicited, or raised , for or on behalf of any other organization. ( 10 ) "Promoter" means any organization which for pecuniary compensation or consideration received, or to be received , solicits, or is engaged in the business of or holds itself out to the public as engaged in the business of soliciting contributions, for or on behalf of any other organization except -4- that "promoter" shall not include an individual employee of an organization licensed as a promoter hereunder. A person who is a bona fide paid officer or employee of a charitable or religious organization licensed hereunder shall not be considered a "promoter" as defined in this subsection ( 10 ) of this section. (11) "Religious" and "religion" as used herein do not mean and are not included in the word "charitable" . ( 12 ) "Religious organization" means one which is organized and operated exclusively or primarily for religious purposes, no part of the net earnings of which inures to the benefit of any private shareholder or individual . ( 13) "Solicit" and "solicitation" mean and include the request directly or indirectly of money , credit, property , financial assistance , or any other thing of value on the plea or representation that such will be used for a charitable or religious purpose. These words shall also mean and include the following methods of securing money , credit, property, financial assistance, or any other thing of value on the plea or representation that it will be used for a charitable or religious purpose: ( a) Any oral or written requests, including but not limited to telephone requests ; (b) The distribution, circulation, or posting of any hand-bill , written advertisement or publication; -5- (c) The sale of, offer or attempt to sell, or request of donations for, any book, card , chance, coupon, device, magazine, membership, merchandise, subscription, ticket, fabricated poppy, or other flower, flag rosette, button, sticker, ribbon, token, trinket, tag , souvenir, candy , or any other article or thing in connection with which any appeal is made for any charitable or religious purpose, or where the name of any religious person is used or referred to in any such appeal as an inducement or reason for making any such sale or donation, or when or where in connection with any such sale, or donation, any statement is made that the whole or any part of the proceeds of any such sale will go to or be donated to any charitable or religious purpose. A solicitation as defined herein shall be deemed complete when made, whether or not the organization making the same receives any contribution or makes any sale referred to in this subsection 13 of this section. Sec. 20-17A-2. Severability. If any provision, clause, sentence or paragraph of this chapter or the application thereof to any person or circumstance shall be held to be invalid , such invalidity shall not affect the other provisions or applications of this ordinance which can be given effect independent from the invalid provision or application, and to this end the provisions of this chapter are hereby declared to be severable. Sec. 20-17A-3. Chapter applicability and exemptions. -6- ( 1 ) Applicability. This chapter applies to any organization which solicits a contribution for a charitable or religious purpose within the limits of Salt Lake City or whenever the organization or person being solicited is within the limits of Salt Lake City, unless the organization is specifically exempted herein. ( 2 ) Exemptions. As long as no promoter is involved , the provisions of this chapter do not apply to: ( a) Solicitations made by an organization if such solicitations are conducted among the established and bona fide membership of such organization by other members or officers thereof , voluntarily and without remuneration for making such solicitations; or (b) Solicitations in the form of collections or contributions at a regular assembly or services; or (c ) Solicitations by primary and secondary schools accredited by the State of Utah; or (d ) Solicitations by licensed radio and television stations ; or (e) Solicitations made upon premises owned or occupied by the organization upon whose behalf such solicitation is made; or ( f) Solicitations for the relief of any individual specified by name at the time of solicitation where the entire amount collected , without any deduction whatever, shall be turned over to the named beneficiary; or -7- (g) Solicitations made by a religious organization or by an organization organized and operating exclusively for charitable purposes no part of the net earnings of which inures to the benefit of any private shareholder or individuals if the organization has a permanent neighborhood presence within the geographical area where such solicitations are conducted and if all of the solicitors and supervisory personnel of said solicitors within the organization reside within the said geographical area. The said geographical area where such solicitations are conducted shall not exceed a five block radius, a block consisting of a standard city grid block face of 660 linear feet together with a street of 8 rods or a total of 792 linear feet per block ; or (h) Solicitations by members of an established , bona fide youth organization with a membership in the State of Utah exceeding 1 ,000, if, at the time of such solicitations, the solicitors are wearing a uniform or obvious insignia which identifies and is approved by the sponsoring organization thereof. Sec. 20-17A-4. Violations. Any person violating the provisions of this chapter, either by failing to do those acts required herein or by doing any act prohibited herein, shall be guilty of a misdemeanor. Each day such violation is committed or permitted to continue shall constitute a separate offense and -8- shall be punishable as such. Nothing herein shall be construed to proscribe any act specifically authorized under State statute. Sec. 20-17A-5. Charitable Solicitations Commission. There is hereby created a Charitable Solicitations Commission which shall consist of the following members: (a) Five members representing the public at large appointed by the Mayor, with the approval of the Salt Lake City Council , (b) The City Chief of Police or a designated representative of the Chief of Police ( as a non-voting , advisory member only) , and (c) The City Licensing Director ( as a non-voting advisory member only) . Terms of the initial appointments by the Mayor, other than those from the Police Department and the office of the Licensing Director, shall be staggered so that at least one term, but not more than two terms, expire in any one succeeding year. Thereafter each term shall be for four years. Upon a vacancy occurring, a successor shall be appointed by the Mayor. At the first meeting of the Commission the members thereof shall select by majority vote a chairperson and a vice chairperson. All members shall serve without compensation or additional compensation in the case of employees of the City. A person designated by the Mayor shall act as a recording secretary for the Commission and shall not have a vote in Commission matters , but shall be responsible for keeping the record of the Commission. -9- Sec. 20-17A-6. Publication of Commission actions. The Commission, upon approval of the City Attorney and providing funds are available, may cause to be published in a newspaper of general circulation a report of actions taken by the Commission, of applications made to the Commission, of reports filed with the Commission, or other Commission matters deemed of public interest. Sec. 20-17A-7. Investigation - Commission authority. The Commission or its designee may, upon reasonable cause : ( a) Investigate all the statements made in an application for an Information Card; (b) Have access, during reasonable hours and upon 24 hours prior notice, to and inspect and make copies of all books, records and papers of any applicant for or holder of an Information Card, either approved by or issued by the Commission , other than data or information which is of a bona fide proprietary nature; (c) Investigate at any time the methods of making or conducting any charitable or religious soliciation; and (d) Make such rules as it deems necessary or desirable for the administration of this chapter. Such rules shall be in writing , filed with the City Recorder, and posted at three conspicuous places within Salt Lake City not less than 30 days prior to becoming effective. -10- Sec. 20-17A-8. Cease and desist orders. When the Commission has reasonable cause to believe that any organization is in violation of this chapter, it may enter an order requiring such organization to cease and to desist from such violation or to perform any affirmative act required by this chapter. Such order may be served on the alleged violator in person or by pre- paid mail . If such organization is a firm , corporation, or association, service may be made on any officer, statutory agent, managing agent or employee thereof. Sec. 20-17A-9. Review of Commission actions. Any action taken by the Commission shall be final , except that the Mayor or the Mayor's designee, on application of an applicant or any interested person may , at the Mayor's or the Mayor' s designee' s discretion, review any action taken by the Commission, and may affirm , amend , or reverse any Commission action. Such action by the Mayor shall be binding on the Commission. Sec. 20-17A-10. Emergency - certain chapter provisions waived when. The Commission may waive the whole or any part of any provision of this chapter for the purpose of meeting any extraordinary emergency or calamity, except that there shall be no waiver of any rights of due process to which any person would have been entitled to hereunder or under law. Sec. 20-17A-11. Information cards required. Except as provided herein, no organization shall solicit within this City for any charitable or religious purpose, or in the name of, or in -11- behalf of, any charitable or religious organization, unless such organization first obtains from the City Licensing Director either a Regular Information Card for a charitable organization or a Special Information Card for a religious organization approved by the Commission, or possesses any other information card which has been approved by the Commission. Sec. 20-17A-12. Personal solicitations. When making any solicitation regulated by this chapter, in person, the solicitor shall wear an unexpired Regular Information Card or Special Information Card approved by the Commission in such a manner that it is prominently and clearly displayed so as to allow the person solicited to easily read the contents thereof. Sec. 20-17A-13. Telephone solicitations. ( 1) If the solicitation is done by telephone call , information set forth on an unexpired Information Card as required by the Commission shall be disclosed clearly and distinctly by the solicitor to the person so solicited during such telephone solicitation. (2 ) The solicitor shall also present either in person or by mail to each person who consents to contribute, or indicates a willingness to contribute, prior to accepting a contribution from such person, the Information Card approved by the Commission, or a true written copy thereof. Sec. 20-17A-14. Written solicitations. When any solicita- tion regulated by this chapter is made by mail or otherwise in -12- writing , it shall contain a true written copy of the Information Card approved by the Commission which shall be easily legible. Sec. 20-17A-15. Regular Information Card. ( 1 ) Application - contents and filing. Every charitable organization for which a Regular Information Card is required hereunder for individuals soliciting on its behalf shall file an application therefor with the City Licensing Director in which the applicant shall state or include: ( a) The name and address of the organization; (b) The specific legal nature of the organization , whether an individual , firm, co-partnership, corporation, company, association, or otherwise, and the names and residence addresses of the officers and directors of such organization for which the solicitation referred to in the application is proposed therein to be made; ( c) The purpose of the solicitation and use of the contributions to be solicited ; (d) The method by which such solicitation will be conducted , and the projected length of time it is to be conducted; (e) The anticipated expenses of the solicitation, including all commissions, costs of collection, salaries and other items, if any , regardless of from what funds such expenses are payable, provided however, that such expenses need not include those paid for with funds other than those collected in connection with any solicitation; -13- ( f) what percentage of the contributions collected as a result of the solicitation are projected to remain available for application to the charitable purposes declared in the application. Said projected percentage shall be reasonably based upon the prior solicitation history of the applicant, if any, unless the application presents evidence to the contrary; (g) A specific description of all contributions collected or received by such organization within the calendar year immediately preceding the date of such filing or during such other period as is acceptable to the Commission. It shall also include the expenditures made from or use made of such contributions; (h) A statement on a form prepared by the City that the signers of the application have read and are familiar with the provisions of this chapter and will require all solicitors engaged in such solicitation to adhere to the requirements of this chapter pertaining to such solicitors ; ( i ) A statement on a form prepared by the City that the signers of the application have read and are familiar with the statements made in the application and that the statements made therein are true and correct and that the applicant understands that misrepresentations made in the application may constitute grounds for revocation of the Commission' s approval of the Information Card, for recall of -14- any Information Cards issued as a result of such application, and for such other penalties as provided by this chapter; ( j ) A list of any and all agreements or understandings made or had with any agent, solicitor, promoter, manager or conductor of such solicitation, together with at least one copy of each such agreement or understanding which may be in writing ; provided , however, that this requirement shall not apply to a person who is a bona fide paid officer or employee of a relgious or charitable organization; and (k ) Such additional information as may reasonably be required by the Commission to adequately obtain disclosure of the applicant's purpose and operations. ( 2 ) Application - changes. Within three business days of any change in the information set forth in the application including any such agreement or understanding described in subsection ( 1) ( j ) of this Section or the making or having of any new , further or different agreement or understanding with any agent, solicitor, promoter, manager or conductor, the signers of the application, or their successor, shall file with the Commission a true copy of such change or such new, further or different agreement or understanding if in writing , or written details thereof if not in writing. ( 3 ) Application - further requirements. An application for a Regular Information Card shall be made to the City Licensing -15- Director upon forms provided by the City. Such application shall be sworn to and filed with the City Licensing Director's office at least 30 days prior to the time at which the Regular Information Card applied for shall become effective ; provided , however, that the Commission may for good cause shown allow the filing of an application less than 30 days prior to the effective date of the Regular Information Card applied for. If an applicant is other than an individual , its application shall be signed by at least two officers thereof. All applications shall be open to public inspection. ( 4 ) Issuance - term. The City Licensing Director shall promptly provide a copy of each application for an Information Card to the Commission for its review. Upon approval of an application by the Commission, the City Licensing Director shall issue a Regular Information Card to the applicant as necessary for the conducting of the solicitation applied for, which Regular Information Card shall remain in force and effect for a period of time as determined by the Commission in its discretion, not to exceed one year after the issuance thereof , and which may be renewed upon expiration of this period upon the filing of a new application as provided in this chapter. (5) Contents. The Regular Information Card shall be in the form approved by the Commission and shall set forth so much of the pertinent facts stated in the application information obtained by the Commission as the Commission finds will be of -16- assistance to any person solicited for any contribution to enable such person to determine the purpose for which such solicitation is made, including the percentage of the contributions collected as a result of the solicitation which is projected to remain available for application to the purposes declared in the application. The Commission may, further, require that the Regular Information Card disclose whether the solicitor is to receive compensation for the solicitation activities or whether the solicitor is an unpaid volunteer. Sec. 20-17A-16. Special Information Card. (1 ) Application - contents and filing ; Issuance - Term. Every religious organization for which a Special Information Card is required hereunder shall file an application therefor with the City Licensing Director on forms prepared by the City. The provisions contained in Section 20-17A-15 hereinabove pertaining to Regular Information Cards shall be applicable to the application, issuance, and contents of a Special Information Card with the following exceptions : ( a) If the solicitation is to support the religious activities of the applicant, the application shall not require the following information: ( i ) The purpose of the solicitation and use of the contributions to be solicited; ( ii ) The anticipated expenses of the solicitation; -1 7- ( iii) What percentage of contributions collected as a result of the solicitation are projected to remain available for application to the religious purposes of the solicitation; and ( iv) A specific statement of the contributions collected or received by such organization within the calendar year immediately preceding the date of such filing. (b) The Special Information Card shall set forth only such pertinent facts as may be reasonably required to identify the religious organization and the individual solicitor. Sec. 20-17A-17. Application - additional information required when. Whenever, in the opinion of the Commission, the application for a Special Information Card or a Regular Information Card does not disclose sufficient information for the public concerning the facts hereinabove required to be stated in such application, or concerning the person or association making such solicitation or on whose behalf such solicitation is made, then, upon the request of the Commission the applicant shall file, in writing , such additional information as the Commission may reasonably require upon the foregoing subjects to enable any person solicited for any contribution to determine the nature of the purpose for which such solicitation is made in the case of a charitable solicitation or to determine the identity of the -18- solicitor and the soliciting organization in the case of a religious solicitation. Sec. 20-17A-18. Application - fees. ( 1 ) There shall be no fee for an application for a Special Information Card. The application fee for a Regular Information Card shall be $5. 00 for an organization projecting total charitable collections under $1 ,000 in Utah in one year, $25. 00 for projections of such collections totalling between $1 ,000 and $25, 000, and $40. 00 for organizations projecting such collections totalling over $25,000. ( 2 ) If an organization collects more than projected for any period and therefore falls into a higher category for application fees, the difference in fee shall be due with the filing of the financial statement for such period. Sec. 20-17A-19. Application - action by Commission. Upon receipt of a completed application therefor, the Commission shall approve the application and direct the City Licensing Director to issue a Regular Information Card or a Special Information Card unless the Commission has good cause to believe that the application contains a material misrepresentation or that the applicant intends to commit a fraud upon any person or organization or that the organization or any of its officers , agents, solicitors, promoters, managers, or conductors of such solicitation has been convicted of a crime involving moral turpitude, or for any other good cause. -19- Sec. 20-17A-20. Recall or revocation of approval - conditions. The Commission may revoke its approval of any Regular Information Card or Special Information Card approved by it and may recall any such Information Card issued by it upon receipt of additional information which, in the opinion of the Commission, renders incorrect or misleading any statement set forth in any such Information Card or in the application therefor. Sec. 20-17A-21. Suspension; revocation of Information Card. ( 1) Whenever the Commission has reason to believe that any Information Card holder has violated or is in violation of any provision of this chapter, the Commission shall fix a time , date and location for a public hearing for the Commission to consider the alleged violation( s) by the Information Card holder, and notify such Information Card holder by registered mail of the time , date and location of the hearing and the nature and substance of the alleged violation( s) . At the public hearing , such Information Card holder may be represented by legal counsel and may present evidence. Any interested party may also appear and present evidence pertaining to the purported violation( s ) . Within 10 days of the completion of the public hearing , the Commission shall render a decision as to whether or not such Information Card holder has committed the alleged violation( s) . Notice of the Commission's decision and action shall be sent by registered mail to such Information Card holder. The Commission, -20- upon a finding that a violation has taken place, shall have the power to issue a finding of violation and to revoke the holder' s Information Card and right to solicit. The Commission shall also have power to defer further action upon condition that such Information Card holder conduct itself in accordance with this chapter for a specified term up to the expiration date of its current Information Card. ( 2) When, in the opinion of the Commission, an Information Card holder's violation of this chapter will result in substantial or irreparable damage to the public or any person, the Commission may summarily suspend such holder's Information Card , until a hearing , as provided in subsection ( 1) above, is held ; provided that notice of said hearing shall be provided to the Information Card holder and said hearing shall be held within 10 days of said notice. ( 3 ) The City police department shall be notified by the City Recorder of the suspension or revocation of any Information Card issued pursuant to this chapter. Sec. 20-17A-22. Return of recalled cards. Upon receipt of notification to return any Information Card issued by the Commission, the holder of such Information Card shall return such recalled Information Card to the Commission within three business days from the time of receipt of such notification. Sec. 20-17A-23. Destruction of expired cards. Upon expiration of the term of an Information Card as set by the -21- Commission as provided in Section 20-17A-15 (4 ) hereinabove, said Information Card shall not be used in any further solicitation. It shall be the responsibility of the Information Card holder to see that its Information Card and any and all copies thereof are forthwith destroyed upon the expiration of the term for which it was issued or authorized. Sec. 20-17A-24. Reissuance of new or corrected cards. Upon the recall pursuant to Section 20-17A-20 of any Information Card issued by the Commission, the Commission may amend or correct such Information Card or issue in lieu thereof a new Information Card amended or corrected in accordance with the additional information received. Sec. 20-17A-25. Misrepresentation and fraud . An organization shall not make or perpetrate any misrepresentation, misstatement, deception or fraud in connection with any application hereunder or any solicitation or any contribution for any charitable or religious purpose. Sec. 20-17A-26. Written permission from organization required . A person shall not use the name of any organization in charge or control of any charitable or religious activity in any solicitation without having written permission from two of the officers of such organization to use its name, or the name of or reference to such activity. Said written permission shall be filed with the Commission prior to any such use. -2 2- Sec. 20-17A-27. Charitable contributions - receipt requirements. ( 1) Upon request of the donor of a charitable donation, a written receipt must be provided, signed by the solicitor, which contains, in addition to a description of the amount and kind of the contribution, the name of the organization, if any, in whose name or upon whose behalf the solicitation is made. (2 ) No receipt need be given or tendered if donation of money is made by placing of same in a locked receptacle. (3 ) No receipt need be given for any donation of money in an amount less than $5. 00. Sec. 20-17A-28. Use of fictitious names prohibited. In a solicitation, a person shall not use or give to any person whomsoever, with intent to deceive, a fictitious name or an alias, or any other than his true and correct name , or make any such solicitation without at the time of such solicitation giving to the person solicited his own true and correct name, nor shall he impersonate any other person or authority in making such solicitation. Sec. 20-17A-29. Names of other persons or public entities - use restrictions. Unless written permission is obtained prior thereto , an organization shall not use the name of any person, including, but not limited to, the name of any public official , or the name of any department, division, bureau or commission of the state , or the county, or any city, or any other public entity. -2 3- Sec. 20-17A-30. Deceptively similar names. Unless written permission is obtained prior thereto, an organization shall not use in any charitable or religious solicitation a name which is deceptively similar to the name of any person having previously filed an application with the City Licensing Director for an Information Card as provided herein nor which is deceptively similar to a name or an assumed name which is reserved or registered in this state with the Utah Department of Business Regulation. The Commission may refuse to issue or approve an Information Card if the named or assumed name of the applicant is deceptively similar as set forth in this Section 20-17A-30. Sec. 20-17A-31. Endorsements by governmental bodies - restrictions. Unless written approval is obtained prior thereto, an organization shall not state or represent to any other person from whom funds are being solicited , either orally or in writing , or in printed matter, that such solicitation bears the endorsement or approval of any department, division, bureau or commission of the state , or county or of any city or of any other public entity. No organization shall represent in any manner whatsoever, directly or indirectly, that any services of any department, division, bureau or commission of the state, or county or of any city or of any other public entity may in any manner be curtailed depending upon the contributions so solicited. -2 4- Sec. 20-17A-32. Accounting system required for charitable organizations. An organization shall not solicit any contributions for or on behalf of any charitable organization unless such organization is maintaining a system of accounting whereby all donations to it and all disbursements made by it are entered upon the books or records of its treasurer or other financial officer. This section shall not apply to religious organization. Sec. 20-17A-33. Expenses - report to Commission - contents and filing time. ( 1 ) Every organization soliciting any contribution within the City for any charitable purpose, having received a Regular Information Card, shall file with the Commission within 30 days after a demand therefor by the Commission or within 30 days after the completion of the solicitation for which the Regular Information Card was issued, whichever shall first occur, a report to the Commission, stating : ( a) The contributions secured from or as a result of such solicitation; (b) In detail , all expenses of or connected with such solicitation ; and (c) Exactly for what use and in what manner all such contributions were or are to be disbursed or distributed. ( 2 ) Every such report shall be made on forms to be furnished by the Commission, and signed by the organization to which a Regular Information Card was issued or whose Regular -2 5- Information Card from another jurisdiction was approved. If the report is made by an organization, not less than two officers thereof shall sign the same ; provided , that when any such solicitation is made by any such organization such report need be filed only by such organization and not by an individual solicitor engaged in such solicitation. If any information set forth in said report substantially differs from that represented in the original application for the Regular Information Card , including but not limited to a substantial difference in the percentage of contributions collected which were used for the charitable purpose declared in the application, the organization filing such report shall provide written explanation of the reasons for such substantial differences to the Commission. If, in the Commission's opinion, said written explanation does not satisfactorily justify said substantial differences, such failure to provide satisfactory written explanation shall constitute grounds for denial by the Commission of one or more applications for a Regular Information Card received from said organization in the future or may subject the organization to other penalities as provided by this chapter. ( 3 ) Records shall be maintained by each Information Card holder which shall include the names and addresses and social security numbers of all persons or associations receiving salaries, wages , compensation, commissions or emoluments from such contributions, and the respective amounts thereof. -26- ( 4 ) A financial statement, audited by a certified public accountant, provided by an organization and approved by the Commission may be accepted in lieu of a report made on forms furnished by the Commission. ( 5 ) This section 20-17A-33 shall not apply to religious organizations. Sec. 20-17A-34. Promoters - License required. ( 1) A promoter shall not, in any manner whatsoever, solicit within the City any contribution for any charitable or religious organiza- tion without a license from the City Licensing Director to do so or a license issued by another jurisdiction which has been approved by the Commission. ( 2 ) A promoter shall not cause or permit any person, for pecuniary compensation or consideration to be received by such person, to solicit or receive on his behalf or at his instigation, under his direction or control or in his employment, any contribution unless such person so employed has a valid Information Card. ( 3) A person shall not, for pecuniary compensation or consideration, solicit contributions for or on behalf of a promoter unless he has a valid Information Card. Sec. 20-17A-35. Promoters - License application - contents. ( 1) An application for a license as a promoter shall be made in writing upon forms provided by the City Licensing Director which shall include: -27- ( a) The name, residence address, and home and business telephone numbers of the applicant; (b) All other residences of the applicant for the three year period immediately prior to the application; ( c) A complete set of the applicant's fingerprints and a recent photograph of the applicant; (d) The business, occupation, or employment of the applicant for the three year period immediately preceding the date of the application; (e ) The history of the applicant as a promoter or any similar business or occupation, including , but not limited to, whether or not such person, in previously operating in this or another city or state under permit or license, has had such permit or license revoked or suspended and the reason therefor, and the business activity or occupation of the applicant subsequent to such action or suspension or revocation; ( f) The criminal record, if any , other than misdemeanor traffic violations, of the applicant ; (g) The name of the operator or manager of the applicant 's operations. If the operator or manager is not the applicant, then the operator or manager must provide all the information required by this section; (h) The general plans and method by which the applicant proposes to conduct its business as a promoter ; -2 8- ( i) Evidence that the applicant has registered with all appropriate employment authorities of the State of Utah and is in compliance therewith; ( j ) A statement that the applicant agrees that all books and records pertaining to the operations of the applicant under the license so applied for shall be available for inspection by the Commission at any time ; (k ) A statement that the signers of the application have read and are familiar with the statements made in the application and that the statements made therein are true and correct and that the applicant understands that misrepresentations made in the application may constitute grounds for renovation of the Commission' s approval of the license, for recall of any license issued as a result of such application, and for such other penalties as provided by this chapter; and ( 1 ) Such additional information as may reasonably be required by the Commission to accomplish the purpose of protecting the public from fraud and misrepresentation. (2) If the applicant is an association or partnership, the information requested in paragraphs ( a) through ( f) shall be given for each associate or partner thereof. If the applicant is a corporation, such information shall be given for each officer or director of the corporation and each of the stockholders owning more than ten percent ( 10 0 ) of the stock of the -29- • corporation. If one or more of the stockholders owning more than ten percent ( 10%) of the applicant corporation is itself a corporation and owns thirty-three percent ( 33%) of the stock of the applicant corporation, such information shall be given for each stockholder owning more than ten percent ( 10%) of the stock of the corporation. ( 3 ) Every applicant for a license as a promoter and every licensee shall be subject to a continuing duty to supply to the Commission current information with respect to the items set forth in subsection ( 1) of this section, such report to be made within 14 days of learning of any change. Failure to report a change in that information after learning of it shall be grounds for revocation of the license. Sec. 20-17A-36. Promoters - bond. (1 ) At the time of filing with the Commission an application for a license as a promoter, the applicant shall file and thereafter maintain with the Commission a good and sufficient bond in the aggregate sum of $10,000, running to the City for the use and benefit of interested persons and parties, executed by the applicant and two or more responsible sureties, or a surety company authorized to do business in the state of Utah which sureties or surety company shall be approved by the Commission. ( 2 ) The bond shall be conditioned upon the strict compliance , by the principal , with the provisions of this chapter, and the payment of any direct pecuniary loss sustained , -3 0- through any act of grand or petty theft on the part of the principal , by any person on whose behalf the funds or personal property were solicited or received by the principal . (3 ) The bond shall remain in force and effect for the entire period of the license. The sureties may cancel the bond and be relieved of further liability thereunder by delivering 30 days ' written notice to the Commission. Such cancellation shall not affect any liability incurred or accrued thereunder prior to the termination of the said 30-day period. (4 ) Any organization which sustains any injury covered by the bond may , in addition to any other remedy which it may have, bring an action in its own name upon the said bond for the recovery of any damage sustained by it. Upon such action being commenced, such bond shall not be void upon first recovery thereon but may be sued upon from time to time until the whole of the face amount shall be exhausted. The Commission may require the filing of a new bond , and immediately upon the recovery in any action on such bond, the promoter shall file a new bond as required hereinabove. Upon the promoter's failure to file such new bond, the Commission shall forthwith suspend such promoter' s license. Sec. 20-17A-37. Promoters - application and license fees. At the time of filing an application for a promoter 's license , the applicant shall pay to the City a non-refundable application fee of $150. Upon approval of the application, the applicant -31- l shall pay to the City a non-refundable business license fee of $50. Sec. 20-17A-38. Promoters - license - issuance - investigation of applicant required. ( 1) Upon receipt of the application, bond and fee as provided for in the preceding sections, the Commission or its designee shall make or cause to be made a thorough investigation by the police department of the applicant and, if applicable , corporate officers, directors, and shareholders owning more than ten percent ( 10% ) of the stock thereof, and general partners of the applicant and of the manager if such is not the applicant. The Commission shall forward a copy of every application for a license under this chapter to the Chief of Police, who shall make or cause to be made a complete criminal history and personal background investigation of every applicant and all associated persons identified in the application. The Chief of Police shall report the findings of the investigation to the Commission with the recommendations of the police department as to licensure of each applicant. ( 2) The Commission shall deny any application for a license as a promoter if the Commission finds that the applicant, or if the applicant is a partnership or association, any partner or members thereof, or if the applicant is a corporation, any officers, directors, or shareholders owning ten percent ( 10% ) or more of the stock thereof or if one or more of the stockholders owning more than ten percent ( 10% ) of the applicant corporation -3 2- � ' a is itself a corporation and owns thirty-three percent ( 33% ) or more of the stock of the applicant, any officer or director or that corporation or shareholder owning ten percent ( 10%) or more of the stock of that corporation, or the manager, if such is not the applicant: (a) Has been convicted of or with respect to whom a court has accepted a plea of nolo contendere to: ( i) Any offense which is considered a felony under the laws of the State of Utah, or ( ii) Any offense which, regardless of whether the same is a misdemeanor under a state statute or an ordinance violation, is an offense of moral turpitude; or (b) Has made a false statement on the application. (3 ) The Commission shall issue a license to an applicant, otherwise qualified under the provisions of this chapter to receive a license, convicted of a felony if it finds that it has been at least eight years since such person has been convicted of such felony and at least three years of any offenses listed under ( 2 ) (a) (ii) above, or has received a pardon for such felony or his civil rights restored by operation of law and it has been at least three years since he was convicted of any offense under (2) (a) ( ii ) above. The Commission shall also issue a license to an applicant, otherwise qualified under the provisions of this chapter- ,to receive a license , convicted of any offense listed -3 3- r under ( 2 ) (a) ( ii) above if it finds that it has been at least three years since the applicant has been convicted of such offense. Sec. 20-17A-39. Promoters - funds to be kept separate. A promoter shall not and a solicitor shall not commingle any contributions with such promoter's or solicitor's own funds. Sec. 20-17A-40. Promoters - requirement of written agreement. Every agreement, understanding or arrangement between a promoter and a charitable or religious organization must be in writing , and such writing shall contain all essential terms of such agreement, understanding or arrangement.
